CITY FOOTBALL GROUP TERMS OF USE-COACH BETTER SUBSCRIPTION

Coachbetter is a digital football coaching platform that offers team management, development, and performance tracking resources to clubs, teams and coaches and assists in the communication and sharing of educational content with users ("Coachbetter").
City Football Group Limited (a company registered in England and Wales with company number 08355862 and whose registered office is at City Football HQ, 400 Ashton New Road, Manchester, England, M11 4TQ) ("CFG") grants you, the Authorised User, access to use the Coach better platform subject to these Terms of Use.
Please read these Terms of Use carefully. By (i) registering with Coach better and creating an account, or (ii) accessing your account with the credentials provided, you agree to be bound by these Terms of Use and by any changes or modifications we may make. By creating or accessing your Coachbetter Account, you also agree to be bound by our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms of Use or our Privacy Policy, you should not register or use the Coachbetter platform.
CFG reserve the right to amend these Terms of Use from time to time and will notify you of the revised Terms of Use when you next log in to the Platform. Your continued use of Coachbetter shall be deemed to constitute acceptance of these Terms of Use. We recommend you read the Terms of Use each time you use the Coach better platform and regularly check them to ensure you understand the terms that apply. ‍

Definitions‍

"Authorised Users" means (i) External Users, and (ii) Internal Users;
"Coachbetter Account" means the free of charge membership account provided to Authorised Users to access the Content on the Platform;
"Content" means the selection of content that is available to users via the Platform, including, but not limited to, training sessions and exercises, and any other content agreed between the parties, as updated from time to time;
"Compatibility Requirements" means the requirements set out in Annex 1 to these Terms of Use, as updated from time to time and notified to the Authorised User by Coach better;
"Device" means the device or devices that are compatible with and have been registered to use the Platform;
"External Users" means players, and any parents or guardians of such players, who are authorised by CFG to use the Platform in order to access the Content;

"Internal User" means those employees, agents and independent contractors of CFG or its affiliates, who are authorised to use the Platform in order to access the Content;
"Platform" means the digital platform operated and managed by Coachbetter which enables Authorised Users to access Content and is available via the Coach better mobile app, and at the dedicated link notified to the Authorised User by CFG from time to time; and
"you" or "your" means you, the subscriber to Coach better.

‍Coachbetter Membership

‍Internal Users
If you are an Internal User, to access the Content, you will be provided with the appropriate registration information to access your Coachbetter Account, and a link to enable you gain access to the Platform via single sign-on.

External Users
If you are an External User, to access the Content, you will need to register for a Coachbetter Account on the Platform. You are required to provide your name and email address in order to create a Coach better Account.
You are solely responsible for maintaining the accuracy of your account information and for updating it as required. You may update your personal information where indicated within the appropriate section of the Platform using your dedicated account credentials.

Registration Information
By accessing or registering for a Coachbetter Account, you confirm that you are legally capable of entering into binding contracts; and are at least 18 years old. If you are under 18 years old, you must have the consent of a parent or guardian to register for a Coachbetter Account.
You must not use any username that violates any provision of these Terms of Use. We have the right to disable any user identification code or password, whether chosen by you or allocated by us, at any time, if in our reasonable opinion you have failed to comply with any of the provisions of these Terms of Use.
If you choose, or are provided with, a user identification code, username, password or any other piece of information as part of the required security procedures or to set up a Coachbetter Account ("Registration Information"), you must treat such Registration Information as confidential and you must not disclose it to any third party. You agree to notify us immediately of any unauthorised use of the Registration Information, or any other breach of security.
If you know or suspect that anyone other than you knows your Registration Information, and you are: (i) an Internal User, you must promptly notify CFG at technologysupport@cityfootball.com, or (ii) an External User, you must promptly notify Coachbetter at cfgsupport@coachbetter.com.
You confirm that all Registration Information you provide in connection with your account is at all times true, accurate and complete. If we suspect or discover that any Registration Information is untrue, inaccurate, out of date or incomplete, or we have reasonable grounds to suspect that such Registration Information is untrue, inaccurate, not current or incomplete, or if you commit any breach of these Terms of Use or do anything that we, in our absolute discretion, believe may damage our reputation, then we reserve the right to suspend your Coachbetter Account, and/or access to the Content and refuse any and all current or future use of any part or the Platform without notice or liability to you.

Your use of Coachbetter

When accessing the Platform, you agree to comply with all applicable laws, rules and regulations in the country from which you access the Content. You also agree to follow any additional reasonable instructions or requirements we make in relation to how you use the Platform, providing they do not conflict with the laws, rules and regulations of the country.
You agree not to archive, reproduce, distribute, modify, display, perform, publish, license, create derivative works from, offer for sale, or use (except as explicitly authorised in these Terms of Use) Content and information contained in or obtained from or through the Platform.
You also agree not to: circumvent, remove, alter, deactivate, degrade or thwart any of the Content protections in the Platform; use any robot, spider, scraper or other automated means to access the Platform; decompile, reverse engineer or disassemble any software or other products or processes accessible through the Platform; insert any code or product or manipulate the Content of the Platform in any way; or use any data mining, data gathering or extraction method. In addition, you agree not to upload, post, e-mail or otherwise send or transmit any material designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment associated with the Platform, including any software viruses or any other computer code, files or programs.

You may not use the Platform in any way that breaches any applicable local, national or international law or regulation, damages CFG's or Coachbetter's reputation or that is unlawful or fraudulent, or has any unlawful or fraudulent purpose or effect.

We may terminate or restrict your use of the Platform with immediate effect if you violate these Terms of Use or are engaged, or we suspect you are engaged, in illegal or fraudulent use of the Platform.

Access and Updates

You are responsible for ensuring that you have and maintain (i) a Device that meets the Compatibility Requirements, (ii) all necessary hardware and software, and (ii) access to the internet, in order to access the Platform. You are also responsible for ensuring that all persons who access the Platform through your internet connection are aware of these Terms of Use, and that they comply with them.
In order to keep the Platform up to date, Coachbetter may from time to time offer automatic or manual updates which may mean that it is no longer supported on certain Devices and/or operating systems.
Device manufacturers may also provide updates to their Devices which are outside of the control of CFG and/or Coach better. Updates made by Device manufactures may not always be compatible with the Platform and it is possible that certain Content may not be accessible to you following these updates.
We exclude all liability for any loss or damage to saved data or Content which may occur as a result of updates to the Platform by Coachbetter or updates to Devices by their manufacturers.

Ownership of the rights in the Platform

The Platform, and the Content included within it, is protected by copyright and trade mark law. All rights in the Platform and any Content are owned by Coach better and CFG (as applicable) or people who have given us permission to include their Content.
You acknowledge that whilst you have a Coachbetter Account, you are provided with a limited, non-exclusive, non-transferable right to access the Platform and view the Content for your own personal purposes. Except for the foregoing, no right, title or interest shall be transferred to you.
You may view the Content on screen and may print or download extracts of them for your own personal use or internal circulation within your organisation. You must not make use of the Content or extracts of any Content for commercial or financial gain.
You must not supply any extracts or material from the Platform to any third party.
You must not modify the paper or digital copies of any Content you have printed off or downloaded in any way, and you must not use any illustrations, photographs, video or audio sequences or any graphics separately from any accompanying text.

If you print off, copy or download any part of the Content in breach of these terms, your right to use the Platform and any materials obtained from it will cease immediately and you must, at our option, return or destroy any copies of the materials you have made.

Termination

In addition to any rights we have to suspend your access in these Terms of Use, we shall be entitled to terminate your access to your Coachbetter Account immediately at any time by contacting you if you have broken these Terms of Use in a serious way.
If we terminate your rights to use the Platform, you must stop all activities authorised by these Terms of Use.
We shall also be entitled to terminate your access to your Coachbetter Account at any time, giving you as much notice as possible: i) should we be forced to for technical or operational reasons beyond our control; or ii) if we decide, at our discretion, to stop providing a Coachbetter subscription.

Your Indemnity to us

You agree to indemnify us, from and against any and all claims, actions, suits or proceedings, as well as any and all losses, liabilities, damages, costs and expenses (including reasonable legal fees) arising out of i) your failure to comply with these Terms of Use; ii) any claims brought by third parties arising from or related to your access of the Platform or the Content; or iii) any misrepresentation, act or omission made by you in connection with your use of the Platform.

Our liability to you

You acknowledge and agree that the Platform and the Content therein is provided by Coach better and the use of the Platform is at your sole risk. Our liability for any loss or damage whatsoever and howsoever arising as a result of your use or reliance on the information shall be excluded to the maximum extent permitted by law. This does not affect your statutory rights.
The Platform and Content is provided on an "as is" basis for your use, and to the extent permitted by law, we hereby disclaim any and all warranties, express and implied, including but not limited to any warranties of accuracy, reliability, title, non-infringement, fitness for a particular purpose or any other warranty, condition, guarantee or representation, whether oral, in writing or in electronic form, including but not limited to the accuracy or completeness of any information contained therein or provided by Coach better.
We do not represent or warrant that your access to the Platform will be uninterrupted or that there will be no failures, errors or loss of transmitted information. We do not guarantee that the Platform will be secure or free from bugs or viruses or that you will be able to access or use the Platform at times or locations of your choosing, or that there will be adequate capacity for the Platform as a whole or in any specific geographic area.
To the fullest extent permitted by applicable laws, neither we nor any of our directors, employees, affiliates or other representatives will be liable for any loss or damages (whether direct or indirect and whether caused by negligence or otherwise) arising out of or in connection with the use of, or inability to use, the Platform or any Content therein, including, but not limited to, indirect, special or consequential loss or damages, loss of data, income, profit, goodwill or opportunity, loss of or damage to property and claims of third parties (even if we have been advised of the possibility of such loss or damages, or such loss or damages were reasonably foreseeable). We will not be liable for any loss or damage caused by a virus, distributed denial-of-service attack, or other technologically harmful material that may infect your Device, data or other proprietary material due to your use of the Platform or to your downloading of any Content on it.
We do not exclude or limit in any way our liability to you where it would be unlawful to do so. This includes liability for death or personal injury caused by our negligence or the negligence of our employees, agents or subcontractors; for fraud or fraudulent misrepresentation; or for breach of your legal rights in relation to Coach better.

Contact

If you cannot access the Platform (other than for reasons within your control such as insufficient bandwidth or a faulty Device), and:

(i) you are an Internal User, please contact us at technologysupport@cityfootball.com. We will endeavour to respond to any issues as soon as possible;

(ii) you are an External User, please contact Coachbetter at cfgsupport@coachbetter.com

General

Electronic Communications. We will send you information relating to your Coach better Account in electronic form only to your email address provided during registration or associated with your Coachbetter Account.
Third PartyAdvertising. The presence of a third party's advertising or other content on the Platform does not in any way give rise to, or otherwise imply, a recommendation, endorsement or other representation on our part in respect of the third party's comments, products or services.
Exclusion of Third Party rights. This agreement between you and us is personal to you and no third party is entitled to benefit from it.
Waiver. Even if we delay in enforcing any right under these Terms of Use, we can still enforce it later. If we do not insist immediately that you do anything you are required to do under these Terms of Use, or if we delay in taking steps against you in respect of you breaking these Terms of Use, that will not mean that you do not have to do those things and it will not prevent us taking steps against you at a later date.
Survivorship. If any provision of these Terms of Use shall be held to be invalid, illegal, or unenforceable, they will be deemed deleted and the validity, legality and enforceability of the remaining provisions shall remain in full force and effect.
Governing Law. These terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with English law.
